Self Managed VC Fund Certified
The astute entrepreneur and management team that want to gain maximum marketing advantage over their equity offer competition will want full Self Managed VC Fund Certification because this gives them assurance that the investment is not only Pre-Qualified Tax Exempt Investment status but also that it is pre-agreed that the investment may be made via a compliant investment fund. This takes complete tax exemption from a potential to a certainty, should the investor choose.
Lellco will determine the terms and conditions upon which the investment will be accepted as a Self Managed Venture Capital Fund through its management system. Lellco will also gain approval for that investment to be made via Queensland’s oldest registered venture capital management partnership, Lellco Mgmt LP, into the Sustainable Enterprise Fund of Purpose Drive Capital Pty Ltd. SMVCF Certification will remain in effect for six months, so long as the details of the equity offer do not substantially change during this time.
The Sustainable Enterprise Fund LP can be found on the Australian federal government’s List of Early Stage Venture Capital Limited Partnerships as a compliant fund for the purpose of investment tax exemptions on all income and capital gains tax.
This service is the first time such an opportunity has been made available and is very limited, as only a restricted number of SMVCF Certifications can be permitted for the venture capital fund.
Qualifiers
To qualify for SMVCF Certification the offer must first have been Pre-qualified Tax Exempt Investment.
Benefits
SMVCF Certification will entitle the recipient to:
Promote the investment offer as SMVCF Certified in: marketing material, website, pitch decks, investor discussions;
Include both the SMVCF Certified and Pre-qualified Tax Exempt Investment badges on the AuSMEquity listing and advertisements;
Three months of Premium listing on AuSMEquity;
Thirty days of Spotlight advertising of your listing on AuSMEquity;
Thirty days of Side of Listing advertising on AuSMEquity; and
Thirty days of Top of Search advertising of your listing on AuSMEquity.
Limited services available. Preference will be given to offers with a good Success Probability Assessment.
SMVCF without Certification
To ensure the highest standards of compliance no Self Managed VC Fund investment may occur until such time as the investment has been SMVCF Certified.
However, where one or more investors have committed to making an investment subject to that investment being a Self Managed VC Fund investment and the offeror does not yet have certification and cannot yet pay for the SMVCF Certification we may provide certification on the following grounds:
- Investor written commitment to invest subject to SMVCF Certification;
- Priority payment agreement;
- SMVCF Certification fee of $3,000
- SMVCF Certified status only applies to the current investor/s until all fees paid, meaning:
- The SMVCF Certified badging cannot be used on listing/s or other marketing;
- SMVCF Certified status cannot be claimed for any marketing purpose.
Any investment seeking such deferred SMVCF Certification must first successfully gain Pre-qualified Tax Exempt Investment status.
Disqualification
Any party found to have misrepresented itself as SMVCF Certified shall forfeit the opportunity to become so certified, without refund and without limiting Lellco’s ability to seek recourse for such misrepresentation.
